You’re lying on the ground.
You have a –4 penalty on melee attack rolls and cannot use a ranged weapon (except for a crossbow). You gain a +4 bonus to Armor Class against ranged attacks (unless the attacker is in the same or an adjacent square), but take a –4 penalty to AC against melee attacks.
While prone you can only move by crawling.
Standing up is a move-equivalent action that provokes an attack of opportunity.
